Terms of Service

These Terms of Service ("Terms") govern your use of the Saya e-commerce intelligence platform operated by Saya Mongolia LLC ("Saya", "we", "us"). By accessing the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Saya provides a multi-tenant SaaS platform that lets online merchants:

  • Connect Facebook Pages and Instagram Business accounts.
  • Receive comments and Messenger DMs in a unified inbox.
  • Auto-extract phone numbers and pre-fill draft sales orders.
  • Send AI-assisted replies (operator-approved).
  • Run delivery and CAPI workflows.
  • Analyze public Meta Ad Library data for competitive research.

2. Eligibility & account

  • You must be at least 18 years old and legally capable of entering into a contract.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
  • You must provide accurate registration information and keep it up to date.
  • You must comply with all applicable laws of Mongolia and the jurisdictions you operate in.

3. Acceptable use

You agree not to:

  • Use the Service to send spam, deceptive, or unsolicited messages.
  • Violate Meta's Platform Terms, Messenger Platform Policy, or Community Standards.
  • Reverse-engineer, scrape, or attempt to extract source code from the Service.
  • Impersonate any person or entity.
  • Share customer-of-merchant data with third parties without lawful basis.

We may suspend or terminate your account immediately if we have reasonable belief that you have violated this section.

4. Subscriptions & billing

  • The Service is offered on monthly or annual subscription plans. Pricing is displayed in the dashboard at Admin → Plans.
  • All fees are quoted in MNT (Mongolian Tögrög) unless stated otherwise and exclude applicable taxes.
  • Subscriptions auto-renew unless cancelled at least 24 hours before the renewal date.
  • Refunds are issued at our sole discretion for duplicate charges or verifiable service unavailability exceeding 24 hours within a billing cycle.

5. Merchant data & consent

You represent that you have all rights and consents required to upload customer data, connect Facebook Pages you administer, and send messages or SMS to your customers via the Service. Saya acts as a data processor on your behalf for that data; you remain the data controller.

6. AI-generated content

Our AI features may produce inaccurate or inappropriate suggestions. You are responsible for reviewing every AI draft before it is sent to a customer. Saya is not liable for any consequence arising from AI suggestions you elect to send.

7. Intellectual property

Saya retains all rights, title, and interest in the Service, including all software, designs, and trademarks. We grant you a non-exclusive, non-transferable licence to use the Service for the duration of your subscription.

8. Disclaimer of warranties

The Service is provided "as is" without warranty of any kind. We do not warrant uninterrupted operation, error-free performance, or that the Service will meet your specific requirements.

9. Limitation of liability

To the maximum extent permitted by law, Saya's aggregate liability for any claim arising from these Terms or your use of the Service shall not exceed the fees paid by you to Saya in the 12 months preceding the claim. Saya is not liable for indirect, incidental, consequential, or punitive damages.

10. Termination

  • You may cancel your subscription at any time from Admin → Plans.
  • We may suspend or terminate your account for material breach with 7-day notice (or immediately for security or legal reasons).
  • Upon termination, we will retain your data for 30 days for export, after which it will be deleted or anonymized.

11. Governing law & disputes

These Terms are governed by the laws of Mongolia. Any dispute shall be resolved by the courts of Ulaanbaatar, except that either party may seek injunctive relief in any competent jurisdiction to protect intellectual property or confidential information.

12. Changes

We may update these Terms periodically. Material changes are announced 14 days in advance. Continued use after the effective date constitutes acceptance.
